Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Merotrix website, applications, and services (collectively, the "Services") operated by Merotrix LLC ("Merotrix," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2. Description of Services
Merotrix provides a sales and workflow platform designed for independent insurance producers. The Services include lead management, dynamic call scripts, built-in dialing, text and email follow-up sequences, call recording, digital fact-finders, and related integrations. Features may change over time as we improve the platform.
3. Eligibility and Accounts
You must be at least 18 years old and authorized to enter into binding contracts to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
4. Payment and Billing
Merotrix is offered on a subscription basis. Fees are billed in advance and are non-refundable except where required by law. You authorize us to charge your payment method for all fees owed. Subscriptions renew automatically each month unless canceled before the renewal date. We may change pricing by providing notice in advance of the next billing cycle.
5. Acceptable Use
You agree to use the Services only in compliance with applicable laws and regulations, including telemarketing, telecommunications, and insurance laws. You may not use the Services to send unsolicited messages, harass individuals, transmit malware, or engage in fraudulent activity. We reserve the right to suspend or terminate accounts that violate these rules.
6. User Content and Data
You retain ownership of the contact lists, scripts, notes, recordings, and other data you upload or create using the Services ("User Content"). You grant Merotrix a limited license to process User Content solely to provide, secure, and improve the Services. You represent that you have the right to upload and manage the User Content you submit and that doing so does not violate any third-party rights or applicable laws.
7. Intellectual Property
Merotrix and its licensors own all rights, title, and interest in the Services, including software, designs, trademarks, and content made available through the platform. These Terms do not grant you any license to use our trademarks or intellectual property except as necessary to use the Services.
8. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Services ceases immediately, and we may delete your User Content in accordance with our data retention practices.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by law, Merotrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Services. Our total liability shall not exceed the amount you paid to Merotrix in the twelve months preceding the event giving rise to liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
